Acceptance of terms
By creating a Framer account, purchasing credits or otherwise using the Service, you agree to these Terms. If you accept these Terms on behalf of a company, you represent that you have authority to bind that company, and 'you' means both you personally and that company.
Accounts and eligibility
You must be at least 18 years old and legally able to enter contracts. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] of any suspected unauthorised access.
Credits, pricing and payment
The Service operates on prepaid credits. One credit equals €0.10 at the base rate; other supported currencies (USD, GBP, PLN) are converted at the prevailing exchange rate displayed at checkout. Minimum purchase is 50 credits. Credit consumption per feature is described on the Pricing page.
- Credits do not expire for 24 months from the date of purchase.
- Credits are non-transferable between workspaces without our written consent.
- Prices exclude VAT and other applicable taxes, which will be added where required.
- Payments by bank transfer are activated once funds are received in our account.
License to use the Service
Subject to these Terms and payment of applicable fees, Framer grants you a non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your internal business purposes during the term.
Customer content
You retain all rights in the content you or your end users submit to the Service ('Customer Content'). You grant Framer a worldwide, royalty-free licence to host, process, transmit and display Customer Content solely to provide and improve the Service in accordance with the Privacy Policy and DPA.
You represent that you have all necessary rights to submit Customer Content and that it does not violate any law or third-party right.
Acceptable use
Your use of the Service is subject to our Acceptable Use Policy. Violations may result in throttling, suspension or termination of the Service.
AI outputs and human review
The Service uses machine learning to generate summaries, classifications and reply drafts ('AI Outputs'). AI Outputs may be inaccurate, incomplete or biased. You are responsible for reviewing AI Outputs before sending them to customers and for compliance with any applicable regulation (including disclosure requirements) in your industry or region.
Ownership of AI Outputs is assigned to you to the fullest extent permitted by law, on the condition that identical or substantially similar outputs may also be generated for other customers.
Third-party services
The Service integrates with third-party services (e.g. Zendesk, Salesforce, Slack). Your use of those services is governed by their own terms. Framer is not responsible for third-party services and their availability may change without notice.
Confidentiality
Each party will protect the other party's confidential information with the same degree of care it uses for its own confidential information (and no less than reasonable care), and will use it only to perform its obligations under these Terms.
Term, suspension and termination
These Terms remain in effect while you hold credits or use the Service. Either party may terminate for the other party's material uncured breach after 30 days' notice. We may suspend the Service immediately to protect the platform, other customers or comply with law.
On termination, your right to use the Service ends. Unused credits are refunded pro rata if we terminated without cause, and forfeited if you terminated due to your own convenience or we terminated for your material breach.
Warranties and disclaimers
Framer warrants that the Service will materially conform to its published documentation. Except for that warranty, the Service is provided 'AS IS' and 'AS AVAILABLE'. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special or consequential damages, or for lost profits, revenue, goodwill or data. Each party's aggregate liability arising out of these Terms will not exceed the fees paid by you to Framer in the twelve (12) months preceding the event giving rise to the claim.
Indemnification
You will defend, indemnify and hold harmless Framer against third-party claims arising out of Customer Content, your breach of these Terms or your violation of law. Framer will defend you against third-party claims that the Service infringes their intellectual property rights, subject to industry-standard exclusions.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.
Changes to these Terms
We may update these Terms from time to time. Material changes will be announced at least 30 days in advance by email or in-product notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
